1. Agreement to These Terms

These Terms of Service govern the use of the website at www.justnowind.buzz and the coordination services offered by Hongkong Just Now Industry Limited. By browsing the website, submitting a request, accepting a quotation or confirming a production slot, a client agrees to these terms. A person who does not agree should not use the website or the desk.

Where a client and the company have signed a separate written agreement for a specific program, that agreement takes precedence over these terms to the extent of any conflict. In all other respects these terms continue to apply, including to any later engagement that is not covered by a separate agreement.

The company may update these terms from time to time. The version in force on the date a slot is confirmed applies to that engagement, unless the parties agree otherwise in writing. A material change will be reflected in the effective date at the top of this page.

2. The Company and Its Desk

Hongkong Just Now Industry Limited is a company established in Hong Kong with its desk at Rm 704 7/F Tower A New Mandarin Plaza, 14 Science Museum Rd, Tsim Sha Tsui East, Hong Kong - 999077, Hong Kong (HK). The desk coordinates rush order manufacturing for computer integrated systems design and related technical work.

The company is a coordinator and not a manufacturer of record unless a written engagement states otherwise. The company contracts with manufacturing partners, tooling shops, inspection services and freight forwarders to complete the work. A client instruction to the company is an instruction to the desk, and the company remains the single point of contact for the engagement.

Communications about an engagement should be sent to orders@justnowind.buzz or made by telephone to +15514199304. A message sent to another address or to an individual member of staff outside the desk system may not be recorded and should not be relied on as a formal instruction.

3. Scope of Coordination Services

The company offers six coordination services through the rush desk. They are same-week production slots, expedited tooling runs, flash sampling batches, the overnight quote desk, quality hold reviews and air freight handoffs. The services page describes each of them in detail and forms part of the information a client should read before confirming a slot.

A single engagement may combine several services. The confirmed quotation or slot confirmation identifies which services are included. Any service that is not named in the confirmation is not part of the engagement, even if it was discussed informally.

The company does not accept work outside computer integrated systems design and related hardware coordination. It does not provide legal, regulatory, safety certification or product design services. Where a program needs a certification, a regulatory filing or a professional engineering sign off, the program is responsible for obtaining it from a suitably qualified provider.

The company may decline a request at its discretion, including where capacity is unavailable, where the specification is incomplete, where the part family is outside its competence, or where the request would require it to act in a way that conflicts with the law or with an existing engagement.

4. Quotations and Slot Confirmation

A quotation is an offer to coordinate the described work on the stated assumptions. It is valid for the period printed on the document, and it is not a confirmed slot. Capacity moves quickly at a rush desk, and a quotation does not reserve any production position.

A slot is confirmed only when the company has issued a written confirmation that names the drawing revision, the quantity range, the service lanes included, the delivery target and the price, and the client has accepted that confirmation in writing. A verbal acceptance may be recorded by the company and sent back for written acknowledgement, and the written record then governs.

Where a quotation states an assumption, the client should read it before accepting. An assumption that turns out to be incorrect may require the quotation to be revised. The company will not treat an accepted assumption as a hidden term, and it will explain any revision before the work proceeds.

The company may withdraw a quotation before acceptance where a material fact changes, such as a revision of the drawing or a change in the price of a specified material. A withdrawal is communicated in writing with the reason.

5. Client Obligations

A client is responsible for providing accurate and complete information in time for the desk to act on it. The following obligations apply to every engagement.

  • Provide a drawing revision or model that is clear, current and approved for manufacture by the client.
  • State the material, finish, tolerance requirement and quantity, including any range the client will accept.
  • Identify the delivery destination and any receiving procedure that the site requires.
  • Nominate a contact who has authority to answer technical and commercial questions during the engagement.
  • Make any payment required by the confirmed terms within the stated period.
  • Ensure that the client has the right to share the design and any third party material included in the package.

Where a client fails to meet an obligation and the work is delayed as a result, the company will record the cause and will not treat the delay as its own breach. The desk will still seek the fastest reasonable recovery and will propose a revised plan.

6. Specifications and Drawing Revisions

The drawing revision named in the confirmation is the revision that will be run. A client may issue a new revision after confirmation, and the company will acknowledge it, but a new revision may require a new slot, a tooling change or a price adjustment. The desk will not substitute a new revision silently.

Where a drawing is ambiguous, the company will ask for clarification rather than choose a dimension on the client behalf. Where the client authorises the company to resolve a minor ambiguity, the resolution is recorded in writing and attached to the engagement file.

Materials and finishes are coordinated to the callout in the approved specification. A substitution may be proposed where the specified material is unavailable within the available window, and it will only be used with the written agreement of the client. A substitution that the client accepts becomes part of the engagement record.

A client is responsible for the fitness of the design for its intended use. The company coordinates manufacture to the drawing, and it does not verify that the design will perform its intended function in the client system.

7. Tooling and Sample Ownership

Tooling built for an engagement belongs to the client unless the written confirmation states otherwise. The company arranges for the tool to be made and stored with a partner, and it keeps a record of the tool location, condition and last run.

A client may request transfer, retirement or destruction of a tool. The company will carry out the request where it is technically possible and where any outstanding balance has been settled. The cost of transfer or of disposal may be charged at cost, and the company will state any charge before acting.

Physical samples and prototypes sent by a client remain the property of the client. They are logged on arrival and stored in a labeled location. The company may dispose of a sample that is not claimed within a reasonable period after an engagement ends, after giving written notice to the client contact on record.

A tool that is used for a client program is not used to produce parts for another client. The company keeps production separated by tool and by revision, and partner agreements require the same separation.

8. Pricing, Invoicing and Payment

Prices are stated in the currency of the confirmation, normally United States dollars or Hong Kong dollars. A price covers the coordination and the partner work named in the confirmation. Items that are outside that scope, such as a change of destination, an additional freight leg or an unplanned inspection, are quoted separately.

A rush engagement may require a deposit before tooling or production begins. The confirmation states the deposit, the payment stage and the balance due on shipment. Where a client has an agreed credit arrangement, the invoice terms in that arrangement apply.

Invoices are payable within the period stated on the invoice. The company may suspend work on an overdue account after giving written notice, and it may charge reasonable recovery costs where an account is seriously overdue. The company will not withhold a shipment that has already been paid for in full.

Bank charges and currency conversion costs are the responsibility of the paying party unless the confirmation states otherwise. A payment is treated as received when it clears into the company account.

9. Delivery, Freight and Risk

Delivery dates are stated as targets based on the confirmed slot and freight route. A target is a date the desk plans to meet, not a guarantee that an aircraft, a customs authority or a courier will perform on time. Where a delay occurs, the company informs the client promptly and proposes a revised handoff.

Air freight is arranged through established forwarders. The company prepares the packing list, matches the shipment to the booking and confirms cargo acceptance. Insurance is not included unless the confirmation states that it is, and the client is responsible for arranging cover for high value shipments.

Risk in the goods passes to the client according to the delivery term named in the confirmation. Where no term is named, risk passes when the goods are handed to the forwarder. The company remains the point of contact until the client confirms receipt.

A short landing, a damaged crate or a customs hold is investigated by the desk with the forwarder. The company will pursue the forwarder claim and keep the client informed, but it is not the carrier and does not control the carrier decisions.

10. Quality, Inspection and Holds

The company coordinates inspection against the approved drawing revision. An inspection record is produced for each run and is shared with the client. Where a measurement falls outside tolerance, the batch enters a quality hold review before shipment.

A quality hold review is carried out by a coordinator who did not supervise the run. The review examines the measurement, the revision, the tool condition and the inspection method, and it results in a written disposition of scrap, rework or acceptance by concession. A concession is shared with the client with the exact deviation and the reason it is acceptable.

A client may specify an additional inspection requirement, such as a third party inspection or a dimensional report in a particular format. An additional requirement should be stated before the slot is confirmed, and it may affect the price and the delivery target.

The company warrants that coordination work is performed with reasonable care and skill and that any part it arranges will be manufactured to the approved drawing within the agreed tolerance, subject to the inspection record. This warranty is the principal quality commitment for an engagement.

11. Delays and Force Majeure

The company is not liable for a delay or a failure to perform that is caused by an event outside its reasonable control. Such events include severe weather, a natural disaster, an epidemic, a war or civil disturbance, a strike, a failure of a utility or communications network, a customs or regulatory action, a port or airport closure, and a failure of a supplier that could not have been avoided by reasonable planning.

Where such an event occurs, the company informs the client as soon as practicable, describes the effect on the engagement and proposes a revised plan. The parties will discuss a reasonable extension and any cost consequence. A party that is affected continues to work toward recovery as far as it is able.

A delay caused by a client, such as a late drawing, a late payment, a missing material approval or an inaccessible delivery site, is not a force majeure event. The company will still seek the fastest recovery and will record the cause of the delay in the engagement file.

12. Cancellation and Rescheduling

A client may cancel an engagement by written notice to the desk. Where cancellation occurs before a slot is confirmed, no charge is made beyond any work already authorised. Where cancellation occurs after confirmation, the client is responsible for the cost of work already performed and for any non cancellable commitment the company has made to a partner.

The cost of cancellation after a work starts may include the tool if one has been made, the material if it has been cut, and the partner booking if it cannot be released. The company will itemise the cost and will not charge for a saving it has obtained by releasing capacity to another program.

A client may ask to reschedule rather than cancel. The company will move a confirmed slot where another slot is available and where the change can be made without harm to another program. A rescheduling request made late in a window may be treated as a cancellation of the original slot and a new confirmation.

13. Confidentiality and Design Data

Each party agrees to keep confidential the non public information it receives from the other in connection with an engagement. This includes drawings, models, tool design, inspection data, pricing, client identities and the content of correspondence. Confidential information is used only for the engagement and is disclosed only to those who need it to perform the work.

The company restricts access to design files to the coordinator responsible for the program and to the partner staff who must see the file. Partner agreements require that files are stored on access controlled systems and are not reused for another client.

Confidentiality obligations do not apply to information that is already public without a breach, that was lawfully known to the recipient before disclosure, or that must be disclosed by law. Where disclosure is required by law, the recipient gives prompt notice to the other party where lawful and discloses only what is required.

These obligations continue after an engagement ends. The full handling of personal information is described in the Privacy Policy, which should be read together with this section.

14. Intellectual Property

The client retains all rights in its drawings, models and other design material. The client grants the company a limited licence to use that material for the sole purpose of coordinating the engagement, including sharing it with a partner and an inspection service as described in the confirmation.

The company retains all rights in its website, its written material, its coordination methods and its internal records. Nothing in these terms transfers ownership of those items to a client. A client may not reproduce the website content for a commercial purpose without written permission.

Where the company or a partner develops a tool, a fixture or a process improvement for an engagement, ownership is determined by the written confirmation. In the absence of a written term, the client owns a tool built specifically for the client program, and the company retains the know how, which it may apply to other work in a form that does not disclose client confidential information.

15. Acceptable Use of the Website

The website is provided for information and for contact with the desk. A visitor may read the pages, follow internal links and send a message through the contact form. A visitor may not disrupt the site, attempt to gain unauthorised access to a system, introduce malicious code, scrape the site at a volume that affects other users, or use the contact form to send unlawful, abusive or misleading material.

The content of the website is offered in good faith and is kept as accurate as practicable. It is not a substitute for a written confirmation for a specific engagement, and a statement on a page does not create a contractual commitment beyond these terms.

The company may change, suspend or remove any part of the website at any time. It does not guarantee that the site will be available without interruption, and it may carry out maintenance that temporarily limits access.

16. Limitation of Liability

To the extent permitted by law, the company is not liable for indirect or consequential loss, loss of profit, loss of business opportunity, loss of anticipated saving or loss of data, however caused and whether arising in contract, tort or otherwise.

The total liability of the company in connection with an engagement is limited to the amount invoiced for the coordination services of that engagement. Where the law does not permit this limit, liability is limited to the smallest amount the law allows.

Nothing in these terms excludes or limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded. A client should read this section carefully and should arrange its own insurance where the value of a program exceeds the amount invoiced for coordination.

A claim for a defect in the coordination work should be notified to the desk within a reasonable period after the client becomes aware of it, and in any event before the batch is further processed or installed. The company may need to inspect the part before a claim can be assessed.

17. Indemnity

A client agrees to indemnify the company against a claim, loss or cost arising from a design supplied by the client, from an instruction given by the client that the company followed in good faith, or from the client use of a manufactured part in a way that the drawing did not anticipate. This indemnity does not apply to the extent that the loss is caused by the negligence of the company.

A client is responsible for ensuring that a design does not infringe the intellectual property of a third party. Where a claim of infringement is made in relation to a client design, the client will conduct the defence and will keep the company informed.

The company will indemnify a client against a claim that the company coordination itself infringed a third party right, provided that the client notifies the company promptly and allows the company to control the response. This indemnity does not extend to a claim that arises from the client design.

18. Suspension and Termination

The company may suspend work on an engagement where an invoice is overdue, where a client instruction would require an unlawful act, where a safety concern has been raised and not resolved, or where a client has provided false information about a design or a destination. A suspension is communicated in writing with the reason and the action needed to resume.

Either party may end an engagement where the other party commits a material breach and does not remedy it within a reasonable period after written notice. Ending an engagement does not release a party from obligations that have already accrued, including payment for work performed and the duty of confidentiality.

Where the company ends an engagement for a reason not caused by the client, it will refund any amount paid for work that has not been performed. Where the company ends an engagement for a reason caused by the client, the cancellation section applies to the cost of work already committed.

19. Governing Law and Disputes

These terms are governed by the laws of Hong Kong. The parties submit to the non exclusive jurisdiction of the courts of Hong Kong, subject to any right of either party to seek relief in another jurisdiction where a claim concerns property or a party located there.

The parties will first attempt to resolve a dispute through discussion between the coordinator who handled the engagement and the client contact. Where discussion does not resolve the matter within a reasonable period, either party may refer the dispute to a senior representative of the company and a senior representative of the client.

Where a dispute is not resolved through discussion, the parties may agree to mediation before commencing proceedings. A party who commences proceedings without attempting discussion should explain why the matter was urgent. The company will not use a dispute process to avoid a genuine defect claim.

20. Contact and Notices

Formal notices to the company should be sent in writing to the desk at Hongkong Just Now Industry Limited, Rm 704 7/F Tower A New Mandarin Plaza, 14 Science Museum Rd, Tsim Sha Tsui East, Hong Kong - 999077, Hong Kong (HK), or by email to orders@justnowind.buzz. The telephone number for the desk is +15514199304.

A notice is treated as received when it is delivered to the address or when an email is sent to the stated address and no delivery failure is received. An urgent operational message should be followed by a telephone call to the desk, so that the coordinator is aware of the matter without waiting for the next email reading.

The desk is staffed on weekdays from 09:00 to 18:00 Hong Kong time. A communication received outside those hours is read at the next working session, and an acknowledgement is sent so that the sender knows it has arrived.

These Terms of Service should be read together with the Privacy Policy, which describes how personal information is collected, used and protected by Hongkong Just Now Industry Limited.
